Global Ship Lease Announces Pricing of 9.875% First Priority Secured Notes Due 2022
LONDON, Oct. 23, 2017 (GLOBE NEWSWIRE) -- Global Ship Lease, Inc. (NYSE:GSL) (the "Company") announced today that it has priced an offering of $360,000,000 aggregate principal amount of 9.875% first priority secured notes due 2022 (the "Notes") at an issue price of 99.0% in a private placement (the "Offering").
The Company intends to use the proceeds from the Offering, together with borrowings under a new super senior secured term loan facility, to refinance the Company's existing 10.000% first priority secured notes due 2019 and repay all outstanding borrowings under, and terminate, each of the Company's existing revolving credit facility and existing secured term loan.
The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"). The Notes may not be offered or sold within the United States or to U.S. persons, except to "qualified institutional buyers" in reliance on the exemption from registration provided by Rule 144A and to certain persons in offshore transactions in reliance on Regulation S. You are hereby notified that sellers of the Notes may be relying on the exemption from the provisions of Section 5 of the Securities Act provided by Rule 144A. Application will be made to list the Notes on the Official List of The International Stock Exchange Authority Limited (the "TISE", formerly the Channel Islands Securities Exchange Authority Limited) and for the Notes to be admitted to trading on the TISE.
